Terms of Service

1. Agreement to Terms

By accessing or using RacterVault ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

RacterVault provides quantum-ready encrypted cloud storage with zero-knowledge architecture and digital succession planning. Key features include:

• Client-side encryption of files before upload
• Secure file storage and sharing
• Automated digital succession planning
• Cross-platform access (web, mobile, desktop)

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use RacterVault. By creating an account, you represent that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your master password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Important: We cannot recover your master password. If you lose it, your data will be permanently inaccessible.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Acceptable Use Policy

4.1 Permitted Use

You may use RacterVault for lawful purposes only, including:

• Personal file storage and backup
• Business document management
• Secure file sharing with authorized parties
• Digital legacy planning

4.2 Prohibited Use

You may NOT use RacterVault to:

• Store or distribute illegal content (child exploitation material, terrorist content, etc.)
• Violate intellectual property rights (pirated software, movies, music)
• Distribute malware, viruses, or harmful code
• Harass, threaten, or harm others
• Spam or send unsolicited communications
• Attempt to breach security or access others' accounts
• Resell or redistribute the Service without authorization
• Use automated tools to scrape or download content

4.3 Enforcement

While we cannot see your encrypted files, we may investigate reports of abuse. Violations may result in:

• Warning
• Temporary suspension
• Permanent account termination
• Legal action
• Cooperation with law enforcement

5. Subscription and Payment

5.1 Plans

• Free Plan: 5GB storage, basic features
• Plus Plan: Paid subscription with additional storage and features
• Premium Plan: Advanced features including enhanced succession planning
• Enterprise Plan: Custom pricing and features

5.2 Billing

• Subscriptions are billed monthly or annually in advance
• Prices are in USD unless otherwise stated
• Payment methods: Credit card, cryptocurrency (Bitcoin, Monero)
• Automatic renewal unless cancelled

5.3 Refunds

• 30-Day Money-Back Guarantee: Full refund within 30 days of initial purchase
• Pro-Rated Refunds: Not available for partial months
• Cryptocurrency Payments: Non-refundable due to irreversibility

5.4 Cancellation

• Cancel anytime from account settings
• Access continues until end of billing period
• No refund for unused portion of billing period (except 30-day guarantee)
• Data retained for 30 days after cancellation, then permanently deleted

5.5 Price Changes

We may change prices with 30 days' notice. Existing subscribers maintain current pricing until renewal.

6. Storage Limits and Fair Use

6.1 Storage Quotas

• Free: 5GB
• Plus: 100GB - 2TB
• Premium: 2TB - 10TB
• Enterprise: Custom

6.2 Fair Use Policy

"Unlimited" plans have reasonable use limits. Excessive use (>20TB or >1M files) may require upgrade to Enterprise.

6.3 Bandwidth

Reasonable bandwidth limits apply. Excessive bandwidth use may result in temporary throttling.

7. Data and Privacy

7.1 Zero-Knowledge Architecture

Your files are encrypted on your device before upload. We cannot access your data or encryption keys.

7.2 Your Responsibilities

• Maintain secure backups of important data
• Securely store your master password
• Export recovery keys if desired
• Comply with applicable data protection laws

7.3 Our Responsibilities

• Maintain security of encrypted data
• Provide 99.9% uptime SLA (paid plans)
• Notify you of security incidents
• Comply with GDPR and Icelandic data protection laws

8. Intellectual Property

8.1 Your Content

You retain all rights to your content. By using RacterVault, you grant us a limited license to:

• Store your encrypted files
• Transmit your encrypted files when you request
• Make backup copies for redundancy

This license ends when you delete your content or account.

8.2 Our Content

RacterVault's software, website, logos, and documentation are protected by copyright and trademark laws. You may not:

• Copy, modify, or distribute our software
• Reverse engineer our applications
• Use our trademarks without permission

8.3 Open Source

Our client-side encryption code will be open-sourced (roadmap). Open-source components are licensed separately.

9. Succession Planning

9.1 Beneficiary Designation

You may designate beneficiaries to access your encrypted files after your death or incapacitation.

9.2 Activation Process

Succession activates when:

• You miss multiple heartbeat check-ins
• Beneficiary provides required documentation
• Waiting period expires without objection

9.3 Your Responsibilities

• Keep beneficiary information current
• Respond to heartbeat reminders
• Inform beneficiaries of their designation

9.4 Disputes

We are not responsible for disputes between beneficiaries. Legal documentation may be required.

10. Service Availability

10.1 Uptime

• Free Plan: Best effort, no SLA
• Paid Plans: 99.9% uptime SLA
• Enterprise: 99.95% uptime SLA

10.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

10.3 Service Changes

We may modify, suspend, or discontinue features with reasonable notice. Material changes will be communicated via email.

11. Disclaimers and Limitations

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Data Loss

While we implement robust backup systems, we are not liable for data loss. You are responsible for maintaining your own backups.

11.3 Password Recovery

We cannot recover lost master passwords. Data encrypted with a lost password is permanently inaccessible.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACTERVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless RacterVault from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content stored on RacterVault

13. Termination

13.1 By You

You may terminate your account anytime from account settings. Your data will be permanently deleted after 30 days.

13.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay subscription fees
• We are required by law
• We discontinue the Service (with 90 days' notice)

13.3 Effect of Termination

• Access to Service immediately revoked
• 30-day grace period to export data
• Permanent deletion after grace period
• No refunds for early termination (except violations by us)

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Iceland, without regard to conflict of law principles.

14.2 Arbitration

Disputes shall be resolved through binding arbitration in Reykjavík, Iceland, except:

• Small claims court disputes (under €5,000)
• Intellectual property disputes
• Injunctive relief requests

14.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or representative proceeding.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and RacterVault.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, etc.).

16. Changes to Terms

We may modify these Terms with 30 days' notice via:

• Email notification
• In-app notification
• Website banner

Continued use after changes constitutes acceptance. If you disagree, you may terminate your account.
